Terms of Service

1. Acceptance of Terms

By registering an account, subscribing to our plans, or utilizing DocReport New Zealand, you agree to comply with and be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the practitioner or medical practice) and Be Smart Global, LLC (a Delaware entity, US parent company).

2. Billing, Subscriptions, and Currency

All subscription plans are billed in New Zealand Dollars (NZD) securely via Stripe. The merchant of record is our parent organization, Be Smart Global, LLC, located in the United States.

• Premium Plan: Billed at $449 NZD per month (excluding GST, if applicable).
• Claims Plan: Billed at $1,699 NZD per month (excluding GST, if applicable).
• Ultimate Plan: Billed at $1,899 NZD per month (excluding GST, if applicable).

Important Cross-Border Billing Notice: Because payments are processed by a US-based entity (Be Smart Global, LLC) via Stripe, your bank or credit card issuer may charge an international transaction, cross-border processing, or currency conversion fee (typically 1% to 3% of the transaction value). These charges are determined and collected solely by your financial institution, and Be Smart Global, LLC is not liable for, nor does it profit from, these fees. All plans are billed on a recurring monthly basis until cancelled.

3. Compliance and Data Obligations

Practitioners and clinics utilizing DocReport operate as "health agencies" under the Health Information Privacy Code 2020 (HIPC) and the Privacy Act 2020. Practitioners are solely responsible for ensuring they have obtained active, informed patient consent (verbal or written, as appropriate under professional guidelines) before initiating any ambient audio recording or inputting patient details. While DocReport provides local, browser-side PII and NHI tokenization and zero-knowledge local key encryption safeguards, practitioners retain primary accountability for maintaining patient confidentiality and securing their local encryption keys.

4. AI Clinical Assistant Medical Disclaimer

DocReport is an administrative support and documentation drafting tool powered by artificial intelligence. It does not provide medical advice, diagnostic evaluations, or billing determinations, and must not be used as a substitute for professional clinical judgment.

All AI-generated drafts—including SOAP clinical notes, referral letters, ACC32 prior authorization justifications, claim appeals, ICD-10-AM diagnostic linkages, and ACC consultation codes—are draft suggestions only. The practicing clinician retains full and exclusive clinical and legal responsibility for the accuracy of clinical entries made into any Patient Management System (e.g. Medtech or Indici) and for the accuracy of all claims submitted to ACC or private insurers. The clinician must thoroughly review, verify, and modify all AI-generated content before finalized entry.

5. Limitation of Liability

To the maximum extent permitted under New Zealand law, Be Smart Global, LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our AI scribe software.

6. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
